Terms of Use
Effective date: October 2, 2026
Welcome to Halite. These Terms of Use ("Terms") govern your access to and use of the Halite recipe management application available at app.halite.cc and the marketing website at halite.cc (collectively, the "Service"), operated by HALITE LLC, a Michigan limited liability company ("Halite," "we," "us," or "our").
By creating an account or using the Service in any way, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Service.
1. Eligibility
You must be at least 13 years old (or the applicable age of digital consent in your jurisdiction) to use the Service. By using Halite you represent that you meet this minimum age requirement and have the legal capacity to enter into these Terms.
2. Account Registration
To use most features of the Service you must create an account using an email address and password, or by signing in with Google. You are responsible for:
- Providing accurate and complete registration information.
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account.
You must notify us immediately at support@halite.cc if you suspect unauthorized access to your account.
3. The Service
3.1 What Halite Provides
Halite is an AI-powered recipe management application. Core features include:
- Importing recipes from URLs, photos, or pasted text.
- AI-powered recipe editing, ingredient scaling, and format conversion.
- Automated nutrition estimation, allergen detection, and dietary flagging.
- AI-generated food photography.
- Recipe organization with labels, ratings, difficulty tags, and multiple view modes.
- Grocery shopping lists and pantry tracking.
- Meal planning, and a meal log that tracks what you eat with estimated nutrition.
- Prep tray for cooking session management.
- Public sharing via links and shared collections, with optional collaborative editing.
- Cross-device synchronization via a Progressive Web App (PWA).
- A Chrome browser extension for one-click recipe clipping.
- An optional connector that lets AI assistants you choose, such as ChatGPT or Claude, read and update your Halite data on your behalf (see Section 9).
3.2 Service Tiers & Usage Limits
The Service offers multiple tiers (currently Beta, Free, and Pro), each with different limits on the number of recipes, daily recipe imports (clips), and daily AI operations. We also enforce per-action rate limits on API calls to ensure fair use for all users.
We reserve the right to modify tier limits, introduce new tiers, or change pricing at any time. Material changes will be communicated with reasonable notice via the Service or by email.
3.3 AI-Powered Features
Several features rely on third-party AI providers (Groq, Google Gemini, Together.ai) to process recipe text, images, and prompts. You acknowledge that:
- AI outputs are estimates. Nutrition information, allergen detection, and AI-generated recipe modifications are computer-generated approximations. They are not a substitute for professional dietary, medical, or nutritional advice. Always verify ingredients and nutritional values independently, especially if you have food allergies or dietary restrictions.
- AI-generated images are synthetic. Food photographs created by the Service are AI-generated and may not accurately represent the final appearance of a prepared dish.
- Recipe data is sent to AI providers. When you use an AI feature, the relevant recipe content (text and/or images) is transmitted to our third-party AI providers for processing. See our Privacy Policy for details on which providers receive which data.
3.4 Purchases & Payments
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles checkout, payment, sales tax and VAT, invoices and refunds, and its Buyer Terms apply to your purchase alongside these Terms.
Prices and what each purchase includes are listed on our Pricing page. One-time purchases do not renew. Subscriptions, when offered, renew automatically until you cancel, and you can cancel at any time. Refunds are covered by our Refund Policy, which allows at least 30 days. If a purchase is refunded or charged back, the benefits it unlocked end.
4. Your Content
4.1 Ownership
You retain all rights to the recipes, images, notes, labels, and other content you create, import, or upload to the Service ("Your Content"). These Terms do not transfer ownership of Your Content to us.
4.2 License Grant
By uploading or creating content on Halite, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, display, process (including via AI providers), transmit, and reproduce Your Content solely as necessary to provide, maintain, and improve the Service. This license ends when you delete Your Content or your account.
4.3 Shared & Public Content
When you share a recipe via a public link, add it to a shared collection, or invite collaborators, you understand that:
- Public links make recipe content accessible to anyone with the URL — no Halite account is required to view it.
- Shared collections bundle multiple recipes into a single shareable URL.
- Collaborators with "editor" access can modify the shared recipe. You may revoke collaboration or disable public sharing at any time.
- Viewers of your public recipes may save a copy of the recipe to their own account.
4.4 Responsibility for Content
You are solely responsible for Your Content and for ensuring that it does not violate any applicable law or third-party rights (including copyright). We do not pre-screen user content but reserve the right to remove content that violates these Terms.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation.
- Upload, share, or transmit content that is unlawful, defamatory, obscene, fraudulent, harmful, threatening, or invasive of another's privacy.
- Infringe on the intellectual property rights of any person or entity, including uploading copyrighted recipes without authorization to distribute them.
- Attempt to gain unauthorized access to the Service, other user accounts, or any systems or networks connected to the Service.
- Interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure — including circumventing rate limits or usage tier restrictions.
- Use the Service for any automated data collection, scraping, or harvesting, except via the officially provided Chrome extension, APIs, and AI-assistant connector.
- Reverse-engineer, decompile, or otherwise attempt to derive the source code of the Service.
- Impersonate another person or misrepresent your affiliation with any entity.
We reserve the right to suspend or terminate your account if we reasonably believe you are in breach of this section.
6. Intellectual Property
6.1 Our Rights
The Service — including its design, layout, look and feel, code, branding, the Halite name and logo, and all software — is owned by us and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as described here.
6.2 Feedback
Any suggestions, ideas, bug reports, or other feedback you provide about the Service may be used by us without any obligation or compensation to you.
7. Copyright & Takedown Policy
We respect the intellectual property rights of others and expect our users to do the same. If you believe that content on the Service infringes your copyright, please send a written notice to support@halite.cc that includes:
- A description of the copyrighted work you claim has been infringed.
- The URL or other specific identification of the content you claim is infringing.
- Your contact information (name, address, email, phone number).
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
- Your physical or electronic signature.
We will respond to valid notices and take appropriate action, which may include removing or disabling access to the allegedly infringing content.
8. Data & Account Deletion
You may delete your account at any time from the Settings page within the application. Upon deletion:
- All recipes, shopping lists, pantry items, prep tray data, labels, notes, usage records, and uploaded images associated with your account are permanently removed from our systems.
- Shared collections you created will become inaccessible.
- Connected AI assistants and browser-extension tokens are disconnected.
- Deleted recipes are soft-deleted (hidden) and automatically purged after 30 days; deleting your account removes them immediately.
A few records are not removed by account deletion: bug reports and feedback you sent us (we delete these on request), server logs (which expire after 30 days), and anything an AI assistant already received from Halite, which that assistant's provider holds under its own terms. Section 5 of the Privacy Policy lists every retention period.
We strongly recommend exporting any content you wish to keep before deleting your account. Deletion is irreversible.
9. Third-Party Services & Links
The Service integrates with third-party providers (Google Firebase, Groq, Google Gemini, Together.ai, Cloudflare, Resend, GitHub, Open Food Facts, and USDA FoodData Central) to deliver its functionality. Your use of these integrations is also subject to those providers' respective terms and privacy policies. The full list, including what each provider receives, is in Section 3 of the Privacy Policy.
AI assistants you connect. If you connect an AI assistant such as ChatGPT or Claude, you choose that assistant and authorize it on Halite's consent screen. It can read and change your Halite data only through the actions described in Section 1.10 of the Privacy Policy, and it acts on your instructions: changes it makes to your recipes, plans, meal log, lists or pantry are treated as changes you made. Data it receives is handled by that assistant's provider under the provider's own terms and privacy policy, not ours, and we are not responsible for what the assistant says or does. You can disconnect it at any time in Settings → Connected apps.
Recipes you import may contain links to third-party websites. We are not responsible for the content, accuracy, or practices of those external sites.
10. Service Availability & Modifications
We strive to keep the Service available at all times, but we do not guarantee uninterrupted, error-free, or secure access. We may:
- Modify, update, or discontinue features of the Service at any time.
- Perform scheduled or emergency maintenance that may temporarily affect availability.
- Impose new or revised usage limits, rate limits, or tier configurations.
We will make reasonable efforts to provide advance notice for material changes that significantly affect your use of the Service.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
Without limiting the foregoing, we specifically disclaim any warranty that:
- AI-generated nutrition estimates, allergen flags, or recipe modifications are accurate, complete, or suitable for any particular dietary need.
- AI-generated images accurately depict any specific dish.
- Recipes imported from third-party websites are accurate or free from errors.
- The Service will be uninterrupted, timely, secure, or error-free.
You assume all risk arising from your reliance on any content provided by the Service, including AI-generated outputs. Consult a qualified healthcare or nutrition professional for advice regarding food allergies, dietary restrictions, or medical nutrition therapy.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HALITE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
13. Indemnification
You agree to indemnify and hold harmless Halite and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party right, including intellectual property or privacy rights.
14. Termination
We may suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, if we reasonably believe you have violated these Terms or if continued access poses a risk to the Service or other users.
You may terminate your account at any time by deleting it from the Settings page. Upon termination, Sections 4.4, 6, 11, 12, 13, 15, and 16 of these Terms shall survive.
15. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict-of-law provisions.
Any dispute arising under these Terms shall first be resolved through good-faith informal negotiation. If the dispute cannot be resolved informally within 30 days, either party may submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association, to be conducted in the State of Michigan. Each party shall bear its own costs; the prevailing party shall be entitled to recover reasonable attorneys' fees.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Effective date" at the top of this page and may notify you via the Service or by email. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
We encourage you to review this page periodically.
17. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Halite with respect to the Service.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
- No Agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Halite.
